Humryk Terms of Service

These terms apply to businesses that use Humryk for online stores, B2B sales, subscriptions and production. Together with the data processing agreement, they form the agreement between you and Key-Tech AS.

In effect from

The short version

  • Humryk is for businesses. You are the seller in your store and responsible for your products, prices and terms of sale towards your customers.
  • 14 days free with no credit card. After that you pay monthly with no commitment, or for six months at a time.
  • We take no share of your sales. Your customers' payments go through Stripe, straight to your account.
  • Your data is yours. You can export it at any time, and we delete it after the agreement ends.
  • If we change these terms, you hear from us by email 30 days ahead, and you can cancel if you do not want to continue.
Contents

1. The agreement

The agreement is between Key-Tech AS (organisation number 932 472 112), which provides Humryk («we»), and the business that signs up («you»). It consists of these terms, the data processing agreement and the price you chose. If we have made a written agreement with you that says otherwise, it takes precedence over these terms. For personal data, the data processing agreement takes precedence.

The person who registers the store or accepts these terms confirms that they can bind the business.

2. Who can use Humryk

Humryk is for businesses, not consumers. Consumer law therefore does not apply between us and you, but it does apply between you and your customers. We approve every new store and may decline without giving a reason.

3. The service

Humryk gives you an online store, a B2B portal, subscriptions, production planning, newsletters and connections to payments, shipping, accounting and marketing. What each plan includes is on the pricing page.

We develop Humryk continuously. We may change, improve and remove features, but we do not remove a core feature you pay for during a running period without telling you at least 30 days ahead. Some new features are first offered as a trial to selected stores, and we tell you when that is the case.

4. Trial

New stores get 14 days free with the whole platform, without entering card details. After the trial you choose a plan to continue. If you choose none, the store is paused: it is closed to customers, but you lose no data and can start again whenever you like (see section 14 for how long we keep a paused store).

5. Prices and payment

  • Prices are on the pricing page and exclude VAT. Above the business-customer limit of the Pro plan, we make you an offer.
  • You pay monthly or for six months at a time, in advance. We send an invoice with 14 days to pay.
  • We take no share of your sales. Fees at Stripe, Vipps, carriers, accounting software and other services you connect are between you and them.
  • For late payment we may charge interest under the Norwegian Late Payment Interest Act. If an invoice is still unpaid 14 days after a reminder, we may pause the store until it is paid. We never delete data because of an unpaid invoice without warning you first.
  • We may change prices with 30 days' notice by email. If you pay for six months at a time, a new price applies from the next period.

6. Payments from your customers

Customers pay in your online store by card, Vipps and other methods through Stripe. The money goes from Stripe straight to your account. We are not a party to the payments and never hold your money. Refunds, chargebacks and Stripe's fees are between you, your customers and Stripe.

Payment processing services for stores on Humryk are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the Stripe Services Agreement). By agreeing to these terms or continuing to operate as a store on Humryk, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Humryk enabling payment processing services through Stripe, you agree to provide Humryk accurate and complete information about you and your business, and you authorize Humryk to share it and transaction information related to your use of the payment processing services provided by Stripe.

7. Responsibility for your store

You are the seller towards your customers. You are responsible for:

  • the goods and services you sell, and that they are lawful, correctly described and correctly labelled
  • prices, VAT, terms of sale, right of withdrawal, complaints and returns
  • your store complying with the laws that apply to you, such as consumer, marketing, food and labelling rules
  • the privacy policy and cookie choices in your store, and that customers have consented where the law requires it, for example to newsletters
  • texts, images and code you add, including code snippets and scripts from others
  • the connections you turn on, and your agreements with those providers
  • who gets access to your store and what your users do. Keep your sign-ins to yourselves, and tell us at once if you suspect someone has gained unauthorised access.

The templates we offer for terms of sale, privacy policy and other pages are a starting point. You must make sure the content is right for your store.

8. What you may not use Humryk for

  • Selling goods or services that are unlawful, or that require a licence you do not have.
  • Infringing others' rights, such as copyright, trademarks and privacy.
  • Sending email or text messages to people who have not consented or who for other reasons may not receive marketing from you.
  • Trying to access other stores, bypassing security, overloading the service, adding malicious code or extracting data automatically by other means than those we offer.
  • Reselling or renting out Humryk without an agreement with us.

If you want to test Humryk's security, agree it with us in writing first at post@humryk.com.

9. Content and rights

The content and data in your store are yours. You give us the right to store, copy, display and process them as far as needed to provide Humryk to you, for example to show your store and send email.

Humryk – the software, the design, the templates and everything we have made – belongs to us. You may use it while the agreement lasts. If you give us suggestions and feedback, we may use them freely.

10. Personal data

How we handle data about you and your users is in the privacy policy. For data about your customers, you are the controller and we are the processor, and the data processing agreement is part of this agreement.

11. AI features and AI assistants

AI drafts can be wrong or imprecise. Read them before you publish: you are responsible for what you publish.

When you connect an AI assistant to Humryk, you instruct us to give that app read access to your store on your behalf. The app and its provider are not part of Humryk, and their terms govern what the app does with the data. Read more in the privacy policy.

12. Services from others

Humryk can connect to services from others, such as Stripe, Vipps, Google, Meta, accounting software and carriers. Those providers' terms govern the use of their services. We do our best to keep the connections working, but we do not control the other services. If a provider changes or stops its service, we may have to change or end the connection.

13. Operations and support

  • We run, secure, update and back up Humryk. We work to keep the service available at all times, but we do not promise a specific uptime unless we have agreed it in writing.
  • We do planned maintenance at quiet times where we can, and announce it in advance when it will be noticeable.
  • Support is available at support@humryk.com on weekdays.

14. Termination

  • Monthly billing: you can cancel at any time, and the agreement ends at the end of the month you have paid for.
  • Six months at a time: the agreement runs to the end of the period and then renews for six more months unless you cancel before the period ends.
  • We may terminate the agreement with 30 days' notice. If we do so without you having breached it, we refund what you paid for the time after the agreement ends.
  • We may close your store immediately if you materially breach the agreement, for example through unlawful sales or misuse, or if needed to stop a security attack. We tell you as soon as we can.
  • You cancel by writing to support@humryk.com.

When the agreement ends, the store is closed to customers. For 30 days you can export your data, and we help with exports such as all orders. Within 90 days after the agreement ends, we delete the store and its data, except what the law requires us to keep. Remember that you must keep your own accounting records, such as receipts and orders, for as long as bookkeeping law requires.

A store that is paused after the trial or because no plan was chosen is kept for 12 months. After that we notify you by email and delete the store 30 days later, unless you start again.

15. Liability

  • We provide Humryk with professional care and fix errors as quickly as we can.
  • We are not liable for indirect losses, such as lost profit, lost revenue, loss of goodwill or third-party claims, or for losses caused by services from others (see section 12).
  • Our total liability for direct losses is limited to what you paid us for Humryk in the 12 months before the damage occurred.
  • These limits do not apply if we have acted with gross negligence or intent.
  • You hold us harmless against claims from others caused by your goods, your content or use of Humryk in breach of the agreement or the law.

16. Force majeure

Neither party is liable for a breach of the agreement caused by circumstances beyond its control that it could not foresee or avoid, such as widespread power outages, network attacks, natural disasters, war, strikes or orders from the authorities.

17. Confidentiality

Both parties keep confidential information about the other party to themselves, also after the agreement ends. Everyone at Humryk with access to your data is bound by confidentiality.

18. Changes to these terms

We may change these terms with 30 days' notice by email. If you do not want to continue on the new terms, you can cancel before the change applies, and we refund what you paid for the time after. Changes required by law or security may apply sooner.

19. Assignment

We may assign the agreement to a company that takes over Humryk, and will tell you if we do. You may assign the agreement, for example when selling your business, once we have approved it. We will not refuse without good reason.

20. Governing law and disputes

The agreement is governed by Norwegian law. If we disagree, we will first try to settle it amicably. If that fails, the case is decided by the ordinary courts, with Bergen District Court (Bergen tingrett) as the agreed venue.
